1. Services

We offer AI strategy and AI Agents as a Service (“Services”).

2. Fees

• Fixed Monthly Fee: A set retainer for the first 12 months, as agreed in your Proposal.
• Variable Quarterly Component: Billed every quarter based on agreed metrics (e.g., performance, usage).
• Invoicing & Payment: Fixed fees invoiced monthly; variable fees invoiced quarterly. All invoices are due upon receipt.

3. Client Obligations

Provide timely access to data, systems, and key contacts needed to deliver Services.

4. Confidentiality

Both parties agree to keep proprietary information confidential and use it solely to perform Services.

5. Intellectual Property

Your Data: You retain ownership of all pre-existing data.

Deliverables: Upon full payment, you receive a perpetual, non-exclusive license to use all Deliverables internally. We retain ownership of our underlying tools, methods, and know-how.
