Terms of Service

If your organization signed an order form, master agreement or data processing addendum with us, that agreement governs wherever it differs from these terms.

You must be at least 18 and use the Services for your business or profession. Give us accurate sign-up details and keep them current. You are responsible for everything done under your account and for keeping access to it secure; tell us at hello@hedwigai.com if you think someone else has used it.

A workbook is a document you describe and the Services research, write and keep current by taking runs on your behalf. We improve the Services continually, which means features change, and we may add or remove them. If we remove something you rely on, we will tell you ahead of time where we reasonably can.

You own what you put into the Services ("Input") and what the Services produce for you ("Output"). You give us permission to host, copy, process and transmit your Input and Output only as needed to run the Services for you, to keep them secure, and to comply with the law. How we handle it, including that we never train a shared model on it, is set out in the Privacy Policy.

You confirm you have the rights to the Input you provide, including anything a connected account such as Google Drive or Dropbox makes available to a run.

Output is generated by machine-learning models from sources the Services find. It shows where each claim came from so that you can check it, and you should: Output may be incomplete, out of date or wrong, and it is not legal, financial, medical or other professional advice. You are responsible for how you use it.

You agree not to use the Services to:

• break the law or infringe anyone's rights, including privacy and intellectual property;
• send spam, or harass, defraud or harm anyone;
• upload malware or attempt to access accounts, systems or data that are not yours;
• overload, disrupt, reverse engineer or resell the Services, or use them to build a competing product;
• get around usage limits, billing or any security measure.

We may suspend runs or accounts that do, and we will tell you why unless the law or the safety of others prevents it.

When you connect another service, such as Google Drive or Dropbox, your use of it is governed by that provider's terms. We are not responsible for services we do not operate, and you can disconnect them at any time.

The Services are priced by usage: you are charged for the runs your workbooks take to research, write and refresh themselves, at the rates shown in the product when the run is taken. There is no per-user licence and no monthly minimum. See Pricing.

You authorize us, through our payment processor, to charge the card on your account for usage as it is billed. Prices exclude taxes, which you are responsible for. If a charge fails we may pause runs until it is settled.

Credit, including the $5 credit given when you first save a card, is applied before your card is charged. Credit does not expire while your account is open, has no cash value and cannot be transferred. Promotional credit ends when the account closes.

Charges for runs already taken are final and are not refunded. If you think a charge is a mistake, write to hello@hedwigai.com within 60 days and we will look into it.

You can stop at any time. When you stop, workbooks stop refreshing and you stop being charged, apart from usage already taken. Every workbook can be exported as PDF, DOCX or XLSX; export what you want to keep before you ask us to close the account.

We may suspend or close an account that breaches these terms or leaves charges unpaid, or if the law requires it. Except where the breach is serious or the law prevents it, we will give you notice and a chance to export your workbooks first. What happens to your data afterwards is described in the Privacy Policy.

We own the Services, including the software, the models we operate and our brand. These terms give you the right to use the Services, not to own any part of them. If you send us feedback, we may use it without owing you anything.

The Services are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services or Output will be accurate, uninterrupted or error-free.

To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible. Our total liability arising out of these terms or the Services is limited to the greater of the amounts you paid us in the 12 months before the claim arose, or US$100. Nothing here limits liability that cannot be limited by law.

You will defend and indemnify us against third-party claims arising from your Input or from your use of the Services in breach of these terms or the law.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and both of us consent to their jurisdiction.

We may update these terms. If a change is material, we will email the address on your account at least 30 days before it takes effect. Continuing to use the Services after that means you accept the change; if you do not, you can stop using them.

If any part of these terms is unenforceable, the rest still applies. Our not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale of our business. These terms, the Privacy Policy and any business agreement you have with us are the whole agreement between us about the Services.
